Terms of Service

These terms are an agreement between you and VS24, Inc., the operator of Million Dollar Agent AI™ ("MDAAI", "we", "us"). By creating an account or using milliondollaragent.ai, you agree to them.

1. The service

MDAAI creates, schedules, and publishes social media marketing for real estate professionals: designed posts, captions, virtually staged photos, AI videos, and automations, published to the social accounts you connect. You must be at least 18 and use the service for your business.

2. Your account

Keep your login credentials confidential; you are responsible for activity under your account. Your plan includes two listing agent seats, and you can add more from your account for the per-agent price shown at checkout. Seats are for individual named agents you work with and may not be resold.

3. Connected platforms

Publishing depends on Instagram, Facebook, LinkedIn, and TikTok, which we do not control. You must comply with each platform's own terms, and you authorize us to publish to your connected accounts on your behalf, including through automations you enable. If a platform changes or restricts its interface, some features may be limited while we adapt. MDAAI is not endorsed by or affiliated with any of these platforms.

4. Your content

You keep ownership of everything you upload. You grant us a license to host, process, modify, and publish that content solely to provide the service, for example staging a photo, generating a video from it, or posting a design that includes it. You are responsible for having the rights to the photos and information you upload, including permission from photographers, sellers, or your brokerage where needed.

5. Marketing compliance is yours

You are the licensed professional. You are responsible for making sure everything published from your accounts complies with the laws and rules that apply to you, including fair housing and advertising laws, MLS and association rules, brokerage policies, and any duty to disclose that a photo is virtually staged or that a video is AI-generated. Review scheduled content before it goes live; approval tools are provided for exactly this.

6. AI content

MDAAI generates content with AI. It is designed to stay faithful to your photos and details, but AI output can contain mistakes. Check facts such as prices, addresses, and property details before publishing. We do not guarantee leads, engagement, followers, or sales.

7. Billing

• Subscriptions renew automatically, monthly or yearly, until you cancel.
• Extra listing agent seats are billed with your subscription at the per-agent price shown in the product.
• You can cancel anytime from your account; access continues to the end of the paid period.
• We may change prices with at least 30 days' notice; changes apply from your next renewal. Early bird pricing stays yours while your subscription remains active.
• Refunds are handled per our Refund & Cancellation Policy, including a money-back guarantee on your first subscription.

Video credits

• AI video generation uses credits. Standard videos use 1 credit; premium cinematic videos use 2 credits.
• Failed generations are automatically refunded to your credit balance.
• Credits included with a subscription roll over while your subscription is active, up to 3× your monthly allowance. Unused rollover credits lapse when the subscription ends.
• One-time credit purchases expire 12 months after purchase.
• Credits have no cash value, are non-transferable, and are refunded only as described in our Refund & Cancellation Policy.

8. Acceptable use

Do not use MDAAI to publish content that is unlawful, deceptive, discriminatory, or infringing; to spam; to misrepresent properties; or to interfere with the service or other users. We may suspend or terminate accounts that violate these terms.

9. Our property

The MDAAI platform, software, templates, and trademarks, including Million Dollar Agent AI™ and Millie, belong to us. These terms do not give you any rights in them beyond using the service.

10. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the service will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent permitted by law, our total liability for any claims arising out of the service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, or consequential damages, or for lost profits, data, or goodwill.

12. Indemnity

You will indemnify us against claims arising from your content, your marketing, or your breach of these terms, including claims that content you supplied infringes someone else's rights or violates advertising rules that apply to you.

13. Termination

You can stop using MDAAI and cancel at any time. We may suspend or terminate the service for breach of these terms, with notice where practicable. Sections that by their nature should survive termination do.

14. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, without affecting any mandatory consumer protections that apply where you live.

15. Changes

We may update these terms. For material changes we will give you notice by email or in the product; continuing to use the service after they take effect means you accept them.
